Group of persons in the field of monopolistic activity


1. A group of persons is deemed to be a combination of natural and (or) legal persons corresponding to one or more of the following characteristics:

1) a business company (partnership, commercial partnership) and a natural person or a legal person, if such natural person or legal person holds more than fifty percent of the total number of votes attributable to voting shares (shares) in the charter (contributed) capital of this business company (partnership, commercial partnership), either due to its participation in this business company (partnership, commercial partnership) or in accordance with powers obtained, including on the basis of a written agreement, from other persons;

2) a business company (partnership, commercial partnership) and a natural person or a legal person, if such natural person or legal person performs the functions of the sole executive body of this business company (partnership, commercial partnership);

3) a commercial company (partnership, business partnership) and an individual or legal entity, if such individual or legal entity, in accordance with the founding documents of this commercial company (partnership, business partnership) or a contract concluded with this commercial company (partnership, business partnership), is entitled to issue binding instructions to this commercial company (partnership, business partnership);

4) a commercial company (partnership, business partnership), in which more than fifty percent of the quantitative composition of the collegial executive body and (or) the board of directors (supervisory board, foundation council) consists of the same individuals;

5) a commercial company (commercial partnership) and an individual or legal entity, if such an individual or legal entity has proposed the appointment or election of a sole executive body of this commercial company (commercial partnership);

6) a commercial company and an individual or legal entity, if such an individual or legal entity has proposed the election of more than fifty percent of the numerical composition of the collegial executive body or the board of directors (supervisory board) of this commercial company;

7) an individual, his spouse, parents (including adoptive parents), children (including adopted children), full-blooded and half-blooded brothers and sisters;

8) persons, each of whom, by any of the characteristics specified in paragraphs 1 - 7 of this part, belongs to a group with the same person, as well as other persons who belong to a group with any of these persons by any of the characteristics specified in paragraphs 1 - 7 of this part;

9) a commercial company (partnership, commercial partnership), physical persons and (or) legal entities that fall into the group of persons based on any of the characteristics specified in paragraphs 1 - 8 of this section, if such persons, due to their joint participation in this commercial company (partnership, commercial partnership) or in accordance with powers obtained from other persons, hold more than fifty percent of the total number of votes attributable to voting shares (shares) in the charter (contributed) capital of this commercial company (partnership, commercial partnership)
