Major transaction of a limited liability company (LLC)
1. A major transaction is a transaction (including a loan, credit, pledge, or guarantee) or several interrelated transactions related to the acquisition, transfer, or possibility of transferring by the company directly or indirectly property whose value amounts to twenty-five percent or more of the value of the company's property determined on the basis of data from the accounting report for the last reporting period preceding the date of the decision to enter into such transactions, unless the company's charter provides for a higher threshold for major transactions. Major transactions do not include transactions carried out as part of the company's regular business activities, as well as transactions that are mandatory for the company in accordance with federal laws and (or) other normative legal acts of the Russian Federation, provided that payments under such transactions are made at prices determined in accordance with procedures established by the Government of the Russian Federation, or at prices and tariffs set by the federal executive authority authorized by the Government of the Russian Federation
