Subordinated loan (deposit, loan, bond loan)


3.5.1. A subordinated loan (deposit, loan, bond loan) is a loan (deposit, loan, bond loan) that simultaneously meets the conditions specified in paragraph 2 of article 50.39 of the Federal Law "On Insolvency (Bankruptcy) of Credit Organizations" (Collection of Laws of the Russian Federation, 1999, No. 9, art. 1097; 2004, No. 34, art. 3536; 2007, No. 1, art. 10), namely:

if the term of providing the aforementioned loan (deposit, loan), or the maturity period of bonds is not less than five years;

if the credit agreement (deposit, loan) or registered terms of bond issuance contain provisions prohibiting, without the consent of the Central Bank of Russia:

early repayment of the loan (deposit, loan) or part thereof, as well as early payment of interest for using the loan (deposit, loan) or early redemption of bonds;

early termination of the credit agreement (deposit, loan) and/or making changes to this agreement;

if the terms of providing the aforementioned credit (deposit, loan), including the interest rate and conditions for its revision, at the time of concluding the agreement (making changes to the agreement) do not significantly differ from market conditions for providing similar credits (deposits, loans), and the interest paid on the bonds and their revision conditions do not significantly differ from the average level of interest rates on similar bonds at the time of their issuance (making changes to the decision on the issuance of bonds). A significant difference from market conditions is understood as a significant exceedance of the average interest rate in accordance with Article 269 of the Russian Tax Code (Collection of Laws of the Russian Federation, 2000, No. 32, art. 3340; 2001, No. 33, art. 3413; 2002, No. 22, art. 2026; 2005, No. 24, No. 2312; 2006, No. 31, art. 3436) (without taking into account the provisions provided for in paragraph 1.1 of the aforementioned article);

if the credit agreement (deposit, loan) or the terms of bond issuance established by the registered resolution on their issue contain a provision that in the event of bankruptcy of the credit institution, claims under this credit (deposit, loan), these bonds are satisfied after satisfaction of the claims of all other creditors
