Large Deals


Major transactions—those involving the acquisition, disposal, or possibility of disposal by the Company directly or indirectly of property (including a loan, credit, pledge, guarantee, acquisition of such a number of shares or other issued securities convertible into shares of a public company that would result in an obligation for the Company to make a mandatory offer in accordance with Chapter XI.1 of the Federal Law "On Joint-Stock Companies"), the price or book value of which is 25 percent or more, but less than 50 percent of the book value of the Company's assets as determined by its accounting (financial) report on the last reporting date, or more than five billion rubles, excluding major transactions whose approval has been assigned by federal law or the Company's charter to the sole shareholder of the Company1.
