Controlling Party of the Debtor
controlling party - a person who had or has within less than two years prior to the arbitration court's acceptance of an application for the recognition of a debtor as bankrupt, the right to issue instructions binding on the debtor or the possibility otherwise to determine the actions of the debtor, including by compelling the head or members of the management bodies of the debtor or exerting a determining influence on the head or members of the management bodies of the debtor in any other manner (in particular, members of the liquidation commission may be considered controlling parties, as well as a person who, based on authority derived from a power of attorney, normative legal act, or special authority, was entitled to enter into transactions on behalf of the debtor, or a person who had the right to dispose of fifty percent or more of the voting shares of a joint-stock company or more than half of the share capital of a limited (additional) liability company);
