1. A major transaction is considered to be a transaction (including a loan, credit, pledge, or guarantee) or several interrelated transactions related to the acquisition, transfer, or possibility of transferring by the company directly or indirectly property whose value amounts to 25 percent or more of the balance sheet value of the company's assets, as determined based on data from its financial statements as of the last reporting date, except for transactions carried out in the course of the company's regular business activities, transactions related to the placement through subscription (sale) of ordinary shares of the company, transactions related to the issuance of emission securities convertible into ordinary shares of the company, and transactions whose performance is mandatory for the company in accordance with federal laws and (or) other legal acts of the Russian Federation, and payments under which are made at prices determined in accordance with procedures established by the Government of the Russian Federation, or at prices and rates set by the federal executive body authorized by the Government of the Russian Federation. executive authority.
