Option Agreement (Contract)


3. An option contract is deemed to be:

1) a contract providing for the obligation of one party to pay monetary amounts periodically and (or) once, upon the other party's demand, depending on changes in the price (value) of the underlying (base) asset or the occurrence of an event that constitutes the underlying (base) asset;

2) a contract providing for:

the obligation of one party, under conditions determined at the time of its conclusion, to buy or sell securities, currency, or goods that constitute the underlying (base) asset upon the other party's demand, including by concluding, by the party (parties) and (or) persons for whose benefit the option contract was concluded, a securities purchase and sale agreement, a foreign currency purchase and sale agreement, or a goods supply agreement;

the obligation of a party to the contract in the event that another party makes a claim to enter into a contract which is a derivative financial instrument and constitutes the underlying (base) asset.

4. An option agreement (contract), in addition to the conditions established by paragraph 3 of this Regulation, may also provide for the obligation of each party to periodically pay monetary amounts depending on changes in price(s) and/or value(s) of the underlying (base) asset and/or occurrence of a circumstance which constitutes the underlying (base) asset.

5. An option agreement (contract) providing for the obligation established by sub-paragraph 2 of paragraph 3 of this Regulation, except for the obligation to enter into a contract which is a derivative financial instrument that does not provide for an obligation to deliver, purchase (sell) or supply securities, currency or goods, is a delivery agreement. Other option agreements (contracts) are settlement agreements.
