Factoring Contract
2. - For the purposes of this Convention, "factoring contract" shall mean a contract concluded between one party (the supplier) and another party (the financial agent), pursuant to which
(a) the supplier must or may assign to the financial agent monetary claims arising from sales contracts for goods concluded between the supplier and his buyers (debtors), excluding contracts relating to goods acquired primarily for personal, family and household use;
(b) the financial agent performs, at least, two of the following functions:
- financing of the supplier, including loan and advance payment;
- keeping records (accounting books) of amounts due;
- presentation for payment of monetary claims;
- protection against the insolvency of debtors;
(c) debtors must be notified of the assignment of the claim.
