Shareholder Agreement
1. A shareholder agreement is a contract concerning the exercise of rights confirmed by shares, and (or) regarding the specifics of exercising rights to shares. Under a shareholder agreement, the parties undertake to exercise the rights confirmed by shares, and (or) the rights to shares in a certain manner, and (or) refrain from exercising such rights. A shareholder agreement may provide for an obligation of the parties to vote in a specific way at a general meeting of shareholders, to coordinate their voting with other shareholders, to acquire or transfer shares at a predetermined price and (or) upon the occurrence of certain circumstances, to refrain from transferring shares until the occurrence of certain circumstances, as well as to take coordinated actions related to the management of the company, its activities, reorganization, and liquidation.
A shareholder agreement is concluded in writing by preparing a single document signed by the parties.
