Insider
Insiders include the following persons:
1) issuers and management companies;
2) business entities included in the register provided for by Article 23 of the Federal Law of July 26, 2006 No. 135-FZ "On Protection of Competition" and occupying a dominant position on the market for a certain product within the geographical boundaries of the Russian Federation;
3) trade organizers, clearing organizations, as well as depositories and credit institutions performing settlement operations in respect of transactions concluded through trade organizers;
4) professional participants in the securities market and other persons conducting operations with financial instruments, foreign currency and (or) goods on behalf of clients, having received insider information from clients;
5) persons having access to insider information of the persons specified in paragraphs 1 - 4 of this article, on the basis of contracts concluded with the relevant persons, including auditors (auditing organizations), appraisers (legal entities with whom appraisers have concluded employment contracts), professional market participants, credit institutions, insurance organizations;
6) persons who own at least 25 percent of the votes in the highest governing body of the persons specified in paragraphs 1 - 4 of this article, as well as persons who, due to ownership of shares (stakes) in the charter capital of these persons, have access to insider information on the basis of federal laws or founding documents;
7) members of the board of directors (supervisory board), members of the collegial executive body, the person performing the functions of a sole executive body (including the managing organization, manager or temporary sole executive body), members of the audit commission of legal entities referred to in paragraphs 1 - 6, 8, 11 and 12 of this article, managing organizations;
8) persons having access to information regarding the direction of voluntary, mandatory or competing offers for the acquisition of shares in accordance with the legislation of the Russian Federation on joint-stock companies, including persons who have submitted voluntary or competing offers to the joint-stock company, credit institutions providing bank guarantees, appraisers (legal entities with whom appraisers have concluded employment contracts);
9) federal executive bodies, executive bodies of the state authorities of the subjects of the Russian Federation, local self-government bodies, other bodies or organizations performing the functions of the aforementioned bodies, management bodies of state extrabudgetary funds having, in accordance with federal laws and other normative legal acts of the Russian Federation, the right to invest temporarily free funds into financial instruments (hereinafter - management bodies of state extrabudgetary funds), the Bank of Russia;
10) heads of federal executive bodies having access to insider information, heads of executive bodies of state authorities of the subjects of the Russian Federation having access to insider information, elected local self-government officials having access to insider information, state and municipal servants of the bodies referred to in paragraph 9 of this article having access to insider information, employees of the bodies and organizations performing the functions of the bodies referred to in paragraph 9 of this article having access to insider information, employees of the management bodies of state extrabudgetary funds having access to insider information, staff (employees) of the Bank of Russia, members of the National Banking Council;
11) news agencies disclosing or providing information to persons referred to in paragraphs 1 - 4 of this article, bodies and organizations referred to in paragraph 9 of this article, the Bank of Russia;
12) persons who assign ratings to the persons specified in paragraphs 1 - 4 of this article, as well as to securities (hereinafter referred to as rating agencies);
13) physical persons having access to insider information of the persons specified in paragraphs 1 - 8, 11 and 12 of this article, on the basis of employment and (or) civil law contracts concluded with the relevant persons;
