Commercial Transaction
c) "commercial transaction" means:
i) any commercial contract or transaction relating to the sale of goods or the provision of services;
ii) any loan agreement or other financial transaction, including any obligation of guarantee or compensation in relation to any such loan or transaction;
iii) any other contract or transaction of a commercial, industrial, trading or professional nature, excluding employment contracts.
2. In determining whether a contract or transaction is a "commercial transaction" under paragraph 1(c), account should be taken first of the nature of that contract or transaction, but also of its purpose, if the parties to the contract or transaction have agreed on this, or if, according to the practice of the court's state, this purpose relates to determining the non-commercial character of that contract or transaction.
3. The provisions of paragraphs 1 and 2 relating to the use of terms in this Convention do not prejudice the use of these terms or the meanings that may be given to them in other international instruments or in the internal law of any State.
